1. Acceptance of Terms
Welcome to Giraffted. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Giraffted (“Giraffted,” “we,” “us,” or “our”) governing your access to and use of the Giraffted website at giraffted.com and web application at app.giraffted.com (collectively, the “Service”).
If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms, and references to “you” include that organization.
2. Description of Service
Giraffted is a web-based event layout and vendor management platform that allows users to:
- Create and manage visual event maps and floor plans
- Place, organize, and label booths and spaces within an event layout
- Manage vendor information and assign vendors to booths
- Share event maps with staff, vendors, and the public via shareable links
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you.
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction)
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Service under applicable laws
- Not have had a previous account terminated by Giraffted for violation of these Terms
The Service is not intended for use by individuals under the age of 16. By using the Service, you represent and warrant that you meet all eligibility requirements.
4. Accounts and Registration
4.1 Account Creation
To access most features of the Service, you must create an account by providing accurate, complete, and current information. You agree to keep your account information up to date.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Use a strong, unique password for your Giraffted account
- Not share your login credentials with any third party
- Notify us immediately at support@giraffted.com if you suspect unauthorized access to your account
Giraffted is not liable for any loss or damage arising from your failure to maintain account security.
4.3 One Account Per User
Each account is for a single user unless you are subscribed to a plan that explicitly permits multiple users. Creating multiple accounts to circumvent plan limitations is prohibited.
5. Subscription Plans and Billing
5.1 Paid Plans
Giraffted offers the following subscription plans, each billed on a monthly basis:
- Starter Plan ($79/month): 1 user, 3 events per month, additional events at $29 each
- Enterprise Plan ($159/month): 3 users, 7 events per month, additional events at $19 each
- Professional Plan ($249/month): Unlimited users, unlimited events, custom URLs and branding
Plan features and pricing are subject to change. We will provide at least 30 days’ notice before increasing prices for existing subscribers.
5.2 Billing and Payment
By subscribing to a paid plan, you authorize Giraffted to charge your payment method on a recurring monthly basis. Payments are processed securely through our third-party payment processor. You agree to provide accurate and complete billing information and to promptly update it as needed.
5.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until that date.
5.4 Refund Policy
All subscription fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us at support@giraffted.com within 30 days of the charge.
5.5 Additional Event Fees
If you exceed your plan’s monthly event allocation, additional events will be charged at the per-event rate for your plan. These charges will be billed at the end of your billing period or when the additional event is created, at our discretion.
5.6 Failed Payments
If a payment fails, we will attempt to retry the charge. If payment remains outstanding after reasonable attempts, we reserve the right to suspend or downgrade your account until payment is resolved.
6. Free Trial
Giraffted offers a free trial that allows you to build and explore one complete event layout at no cost, with no credit card required.
- The free trial is limited to one event per account
- Free trial events have full access to the map editor and booth tools
- Giraffted reserves the right to apply a watermark or other visual indicator to maps created under the free trial
- We reserve the right to modify or discontinue the free trial offering at any time
- Creating multiple accounts to obtain additional free trials is prohibited
7. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable local, national, or international laws or regulations
- Use the Service to transmit or store any unlawful, harmful, defamatory, obscene, or otherwise objectionable content
- Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems
- Interfere with or disrupt the integrity or performance of the Service
- Use automated scripts, bots, scrapers, or other tools to access or extract data from the Service without our express written permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or commercially exploit the Service without our written authorization
- Create multiple accounts to circumvent usage limits or the free trial restriction
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use the Service to collect or store personal data about other users without their consent
8. Your Content
8.1 Ownership
You retain ownership of all content you create, upload, or input into the Service (“User Content”), including event layouts, vendor information, and any other data you provide. Giraffted does not claim ownership of your User Content.
8.2 License to Giraffted
By using the Service, you grant Giraffted a limited, non-exclusive, royalty-free, worldwide license to host, store, process, and display your User Content solely as necessary to provide the Service to you. This license terminates when you delete your content or close your account.
8.3 Your Responsibilities
You are solely responsible for your User Content and represent and warrant that:
- You own or have the necessary rights to your User Content
- Your User Content does not violate any third-party intellectual property rights, privacy rights, or applicable laws
- Your User Content does not contain any malicious code or harmful content
8.4 Content Removal
We reserve the right to remove any User Content that violates these Terms or that we reasonably believe may expose Giraffted or others to liability, without prior notice.
9. Intellectual Property
The Service and all of its components — including but not limited to the software, design, logos, trademarks, text, graphics, and user interface — are owned by or licensed to Giraffted and are protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you any right to use Giraffted’s trademarks, logos, or other brand elements without our prior written consent.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business or personal purposes in accordance with these Terms. This license does not include the right to:
- Copy, modify, or create derivative works of the Service
- Publicly display or perform the Service other than as intended
- Distribute, sell, or sublicense access to the Service
10. Shared Maps and Public Links
The Service allows you to generate shareable links to your event maps. When you share a map link:
- Anyone with the link can view the map without an account
- You are responsible for controlling who you share links with
- You should not include sensitive personal information in publicly shared maps
- Giraffted is not responsible for any consequences arising from your decision to share a map link publicly
Shared map links are only available while you have an active paid subscription. Maps created under the free trial cannot be published or shared as live links without upgrading to a paid plan.
11. Third-Party Services
The Service may integrate with or link to third-party services (such as payment processors). Your use of those services is subject to their own terms and privacy policies. Giraffted is not responsible for the content, practices, or policies of any third-party services.
12. Disclaimers and Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GIRAFFTED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL GIRAFFTED’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO GIRAFFTED IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless Giraffted and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:
- Your access to or use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
14. Termination
14.1 Termination by You
You may cancel your subscription and close your account at any time through your account settings or by contacting us at support@giraffted.com. Cancellation takes effect at the end of your current billing period.
14.2 Termination by Giraffted
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms. In the event of termination for cause, no refund will be issued.
14.3 Effect of Termination
Upon termination of your account:
- Your right to access and use the Service ceases immediately
- Your event data will be retained for up to 30 days, after which it will be permanently deleted
- You may request an export of your data prior to deletion by contacting us
- Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability
15. Dispute Resolution and Governing Law
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. To the extent that any dispute is subject to state law, the laws of the State of [YOUR STATE] shall apply.
15.2 Informal Resolution
Before initiating any formal legal proceeding, you agree to first contact us at support@giraffted.com and give us 30 days to attempt to resolve the dispute informally.
15.3 Binding Arbitration
If the dispute cannot be resolved informally, you and Giraffted agree to resolve any dispute through binding individual arbitration, rather than in court, except that either party may bring individual claims in small claims court. The arbitration will be conducted under the rules of the American Arbitration Association (AAA).
15.4 Class Action Waiver
15.5 EU and UK Users
If you are located in the European Union or United Kingdom, you may also have the right to bring a complaint before your local consumer protection authority or courts.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the “Last Updated” date at the top of this page
- Notify you via email or a prominent notice within the Service at least 14 days before the changes take effect
Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
